The rent commencement date is the day a tenant's obligation to pay rent begins under a commercial lease. It frequently differs from both the lease commencement date (when the contract takes effect) and the delivery date (when the tenant receives the space), because free-rent periods and build-out time usually sit in between.
How the date gets set
Some leases simply name a calendar date. Many define it by formula instead: a stated number of days after the landlord delivers the premises, after substantial completion of landlord's work, or — in retail — the earlier of a fixed outside date and the day the tenant opens for business. Formula-based dates protect the tenant when delivery slips, but they also mean the lease itself does not tell you when rent started; the answer depends on events that happened after signing.
Why the date matters
The rent commencement date anchors more than the first check:
- The rent schedule and each escalation anniversary run from it.
- Term expiration — and therefore renewal and termination option windows — is often measured from commencement rather than from signing.
- Free-rent burn-off and any deferred-rent recapture on default key off it.
- Estoppel certificates routinely ask the tenant to confirm it, so both sides need to agree on what it was.
Because so much hangs on it, parties commonly execute a commencement date agreement (or commencement letter) once the triggering events occur, converting the formula into a stated date. The recurring problems are documentary: a letter that was never signed, a letter that conflicts with the lease formula, or an amendment that reset the term without restating the commencement dates. Practice also varies on terminology — some documents use one commencement date for everything, others define lease, delivery, and rent commencement separately — so it pays to check which defined term a given clause actually references.
